The judge, Chancellor Kathaleen McCormick, previously deemed the package excessive and criticized Tesla's board for conflicts of interest. Tesla argued the package was necessary to retain Musk, who has met the stipulated performance milestones. The ruling adds uncertainty to Musk's future at Tesla, and the company has been ordered to pay $345 million in legal fees, far less than initially requested.
