Charlesbank’s $700m Deal Signals PE Push into US Liability Defense
Charlesbank has closed a deal to acquire a majority stake in the management services organization (MSO) of Wood Smith Henning & Berman (WSHB), valuing the Los Angeles-based insurance defense firm at approximately $700 million. This transaction, set to be announced on Monday, utilizes an MSO structure to bypass US ethics rules that traditionally prohibit non-lawyer ownership of law firms. The deal is expected to catalyze a wave of similar investments in the liability defense sector, where steady cash flows and consolidation opportunities are attracting private equity interest. WSHB, which employs nearly 600 lawyers across 43 offices, plans to use the capital for mergers, technology adoption, and partner equity. Other firms, including Freeman Mathis & Gary and Tyson & Mendes, are currently exploring similar structures, indicating a broader shift in how legal services firms are financed.
